EUROTILE TRADER TERMS & CONDITIONS
1. INTRODUCTION & SCOPE
These terms and conditions apply to all sales made by Eurotile to trade account holders (“Trader”). By placing an order, you confirm acceptance of these terms. These terms are designed for business-to-business transactions and do not grant consumer rights.
2. TRADER STATUS & ONBOARDING
- Traders must provide proof of trading status and, if applicable, a valid VAT registration number before opening a trade account.
- Commission payments are only issued to verified business entities. VAT-compliant self-billing invoices are only issued to VAT-registered traders.
- Traders are responsible for keeping account details accurate and up to date.
3. ORDER PROCESS
- Orders must be confirmed in writing, via the trader portal, or other agreed electronic method.
- Traders placing orders on behalf of an end client must confirm client approval before submission.
- Checkbox Acknowledgement: “I confirm I have client approval to place this order on their behalf. The invoice will be issued in their name.”
- Once an invoice is issued, the order becomes binding.
4. PAYMENT TERMS
- Unless otherwise agreed in writing, all orders must be paid in full prior to dispatch.
- Credit terms, if granted, are at the sole discretion of Eurotile management.
- Goods will not be dispatched until cleared funds are received.
- Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
5. DELIVERY TERMS
- All deliveries are kerbside only.
- Traders are responsible for ensuring the site has safe and accessible unloading areas (solid, level, concrete ground).
- Redelivery Fee: If delivery cannot be completed due to inaccessibility, unsafe conditions, no site contact, or delivery date changes within 24 hours of the scheduled delivery, a £60 per pallet fee will apply.
- Storage Policy: Eurotile will store goods free of charge for up to 30 days from the agreed delivery date. Thereafter, storage will be charged at £7.50 per pallet per week, payable before goods are released.
- Weather & Safety: Deliveries may be postponed for unsafe weather or site conditions. This will not be considered a service failure.
- Drivers must provide timestamped photographs and notes if delivery cannot be completed.
6. RETURNS & CANCELLATIONS
- Orders cannot be cancelled after dispatch without Eurotile’s written agreement.
- If cancellation is accepted, the trader will be charged return freight of £300–£500 per pallet, depending on location and order size.
- Returns must be palletised and sent via an approved Eurotile carrier unless otherwise agreed.
- Goods must be in original packaging and resaleable condition. Missing or damaged packaging may result in up to 50% restocking fee.
- The trader is responsible for goods during return transit. Damage in transit may result in deductions or rejection of the return.
- No returns will be accepted after tiles have been fixed.
7. TILE VARIATIONS & INSTALLATION
- Variations in shade, texture, and calibration are inherent in porcelain tiles.
- The trader must ensure suitability and quantity are correct before installation.
- No claims will be accepted once tiles are fixed.
8. PRODUCT WARRANTY & LIABILITY
- Eurotile is a distributor, not the manufacturer. All tiles are sourced from certified European factories and meet EN ISO 14411 / ISO 13006 standards.
- In the event of a manufacturing fault, Eurotile will coordinate with the factory for repair, replacement, or refund as per the original manufacturer warranty.
- Eurotile is not liable for indirect losses, project delays, or consequential damages.
9. TRADER–CLIENT LIABILITY
- The individual or business named on the invoice is the contracting party responsible for payment.
- Eurotile is not responsible for disputes between traders and their clients.
- Traders are responsible for ensuring client authorisation before placing any order on their behalf.
- The trader is solely responsible for disclosing to their client any commission or incentive they receive from Eurotile in connection with the client’s purchase, where required by applicable law or professional standards. Eurotile has no obligation to disclose such arrangements directly to the client.
10. COMMISSION PAYMENTS
- Traders using the Eurotile Trade Portal are eligible to earn commission on qualifying customer transactions, based on the discount tier applied at the point of sale. Commissions are calculated as the difference between the Trader Price and the Customer Price, within the limits of Eurotile’s published Recommended Retail Price (RRP).Commissions are only payable after:
- Full payment is received by Eurotile.
- The order is delivered and accepted
- No refund or return claim is active
- All commissions quoted by Eurotile are inclusive of VAT, regardless of the trader’s VAT registration status. Traders must confirm their VAT status during onboarding. Traders may not adjust the final customer invoice beyond Eurotile’s RRP.
- The following rules explain how Eurotile calculates and pays commission depending on whether the trader is VAT-registered or not.
- VAT-Registered Traders
All commission rates are set exclusive of VAT. If you are VAT-registered, Eurotile will add VAT (currently 20%) to your commission amount and pay you the total including VAT. A self-billed invoice will be created on your behalf showing:
- Commission amount (exclusive of VAT)
- VAT amount (currently 20%)
- Total commission including VAT (amount paid to you)
Typical example:
Commission (excl. VAT): £610.00
VAT @ 20%: £122.00
Total Paid to You = £732.00
- Non-VAT-Registered Traders
If you are not VAT-registered, Eurotile will pay you only the commission amount exclusive of VAT. No VAT will be added, shown on the invoice, or reclaimable.
Typical example:
Commission: £610.00
VAT Status: Not VAT registered
Total Paid to You = £610.00
- Trader Responsibility
All traders are responsible for declaring commission income to HMRC in line with their own tax obligations.
- VAT-Registered Traders
- By using the Eurotile platform, traders agree to Eurotile’s self-billing procedure, whereby
- Eurotile generates invoices on the trader’s behalf
- Traders must not issue their own invoices for commission payments
- VAT status must be kept up to date; changes must be reported within 7 days
- Eurotile will maintain appropriate HMRC records and file commission transactions in line with UK tax law
- All commissions are capped by Eurotile’s system and cannot exceed the difference between the Trader Price and the RRP.
Any disputes must be raised within 14 days of commission notification.
Eurotile reserves the right to withhold or claw back commissions in the case of:
- Refunds
- Fraudulent activity
- Customer chargebacks
- Delivery refusal
- Breach of contract
- Eurotile reserves the right to amend commission structures, VAT treatment, and self-billing practices with 14 days' notice, published via the Trader Portal or by direct communication.
11. GOVERNING LAW
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
